Last Updated: October 1, 2026

These Terms of Use and Service (“Terms”) govern your access to and use of the AbsoluteOps website, digital products, programs, memberships, communities, educational content, and professional services provided by Darci Lee Solutions Inc. dba AbsoluteOps (“AbsoluteOps,” “we,” “us,” or “our”).

By accessing or using our Website, purchasing AOS or another digital product, enrolling in a cohort or membership, accessing our community or educational materials, or engaging us for professional services, you (“you” or “your”) agree to these Terms.

If you are entering into these Terms on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

If you do not agree to these Terms, do not access, purchase, or use our products, services, or Website.

Our Privacy Policy explains how we collect, use, disclose, and protect personal information and forms part of these Terms.

1. About AbsoluteOps

AbsoluteOps is a business infrastructure and education company operated by Darci Lee Solutions Inc. dba AbsoluteOps, located in Surrey, British Columbia, Canada.

We provide business operating systems, frameworks, templates, educational resources, training, communities, consulting, implementation, advisory, and related services for online businesses.

Our primary product is AOS, the AbsoluteOps operating system.

We may introduce, modify, discontinue, or add products, services, programs, memberships, communities, platforms, or other offerings from time to time.

These Terms are intended to apply across our offerings while recognizing that different products and services may have different terms, pricing, access periods, deliverables, or requirements.

Where a specific offer, checkout page, order form, or separate agreement contains terms that expressly apply to that purchase or engagement, those terms will apply to the extent they conflict with these Terms.

2. Eligibility and Authority

You must be at least 18 years old to purchase our products or services or enter into an agreement with us.

By purchasing or using our products or services, you represent that:

  • you are at least 18 years old;

  • you have the legal capacity to enter into a binding agreement; and

  • if you are acting for a business or organization, you have authority to bind that business or organization.

Our products are designed primarily for business use. Nothing in these Terms prevents an individual from accessing publicly available educational content or purchasing an offering where the applicable offer permits it.

3. Website and Free Content

These Terms apply to your use of www.absoluteops.co and associated pages, landing pages, funnels, forms, resources, and other digital properties operated by AbsoluteOps (collectively, the “Website”).

The Website may contain:

  • educational articles and resources;

  • videos;

  • frameworks and methodologies;

  • downloadable resources;

  • business information;

  • examples and case studies;

  • recommendations;

  • links to third-party products and services;

  • information about AOS and other AbsoluteOps offerings; and

  • other content we make available from time to time.

3.1 Educational and Informational Content

Website content and free resources are provided for general educational and informational purposes.

Nothing on the Website constitutes legal, tax, accounting, investment, financial, medical, employment, or other regulated professional advice.

You are responsible for obtaining appropriate professional advice for matters requiring specialized or licensed expertise.

3.2 No Guaranteed Business Results

We may discuss business outcomes, examples, revenue figures, efficiencies, experiences, or results achieved by AbsoluteOps or others.

Those examples are illustrative only.

We do not guarantee that you will achieve the same or similar results.

Your results depend on numerous factors outside our control, including your business model, market, decisions, implementation, team, resources, timing, and execution.

3.3 Website Accuracy

We make reasonable efforts to provide accurate and useful information, but we do not warrant that Website content is complete, current, or error-free.

Information may become outdated, and we may change, update, remove, or replace Website content at any time.

4. Acceptable Use

You agree to use the Website and our products and services only for lawful purposes.

You may not:

  • violate any applicable law or regulation;

  • attempt to gain unauthorized access to our systems or accounts;

  • interfere with or disrupt our Website, systems, or services;

  • transmit malware, viruses, or other harmful code;

  • impersonate another person or entity;

  • provide fraudulent or misleading information;

  • use automated tools to scrape, copy, reproduce, or systematically extract our proprietary content;

  • use our materials to create or operate a competing product or service;

  • copy, distribute, publish, resell, sublicense, or commercially exploit our proprietary materials except as expressly permitted by these Terms;

  • share your AOS access or license with another business;

  • use AOS or our materials to train, develop, or improve a competing operating system, framework, template library, or substantially similar commercial product; or

  • otherwise use our products, services, or content in a manner that infringes our rights or the rights of others.

We may suspend or terminate access where we reasonably believe these Terms have been violated.

5. AOS Digital Product

5.1 What AOS Includes

AOS is a digital business operating system developed by AbsoluteOps.

Depending on the version and offer purchased, AOS may include:

  • ClickUp templates;

  • ClickUp duplication or installation links;

  • instructions;

  • videos;

  • PDFs;

  • documentation;

  • frameworks;

  • processes;

  • business templates;

  • resources;

  • educational materials; and

  • other digital materials described at the time of purchase.

The exact contents of AOS are determined by the applicable product description and checkout page at the time of purchase.

5.2 Digital Delivery

AOS is delivered electronically.

After purchase, you will receive instructions for accessing, duplicating, downloading, and/or installing the applicable AOS materials.

Because AOS is a digital product, access may be provided immediately after purchase.

You are responsible for providing an accurate email address and maintaining access to the email account used for your purchase.

We are not responsible for delivery problems caused by incorrect contact information, email filtering, internet connectivity, third-party systems, or technical limitations outside our reasonable control.

5.3 Download and Installation

AOS may be provided through digital links, including links used to duplicate templates into your ClickUp workspace.

These links, files, videos, platforms, and other digital resources may change, be replaced, relocated, become obsolete, or be discontinued.

We strongly recommend that you download and install the AOS materials promptly after purchase.

We do not guarantee that any particular duplication link, file format, video, third-party platform, or digital resource will remain available indefinitely.

5.4 No Ongoing Updates Included

AOS is sold based on the version and materials made available at the time of purchase.

AOS does not include a promise of ongoing updates, upgrades, new versions, additional templates, or future improvements unless expressly stated at the time of purchase.

AbsoluteOps may, in its discretion, make corrections, replacements, improvements, or updates available to previous purchasers, but we are not obligated to do so.

5.5 Email Support

Standard AOS purchases include email support relating to access, installation, and navigation of AOS as described in the applicable offer.

Email support does not include unlimited business consulting, individualized implementation, ClickUp administration, custom system design, or ongoing operational advisory services.

Those services may be available separately.

5.6 ClickUp Requirement

AOS is currently designed for use within ClickUp.

Your purchase of AOS does not include a ClickUp subscription.

You are responsible for obtaining and maintaining your own ClickUp account and subscription, including any fees charged by ClickUp.

Your use of ClickUp is subject to ClickUp's own terms, policies, pricing, availability, functionality, and privacy practices.

AbsoluteOps does not control ClickUp and does not guarantee that ClickUp will maintain any particular feature, pricing structure, integration, functionality, or availability.

If AOS is later made available for another platform, the applicable product description will identify that platform.

5.7 Your ClickUp Workspace

When you purchase AOS and install it into your own ClickUp account, your ClickUp workspace is your account with ClickUp.

AbsoluteOps does not automatically receive access to or control over the information you enter into your ClickUp workspace through your purchase or use of AOS.

You are responsible for the information, data, users, permissions, integrations, security, backups, and content within your own ClickUp workspace.

If you separately engage AbsoluteOps for implementation or another service requiring access to your ClickUp workspace, that access will be governed by the applicable service agreement and the provisions relating to professional services in these Terms.

6. AOS License

6.1 One Purchase, One Business

AOS is licensed on a one-business basis.

One AOS purchase permits one business to use AOS internally.

The purchaser may:

  • use AOS for that business;

  • customize and modify AOS for that business;

  • permit the business's employees and contractors to access and use AOS in connection with that business; and

  • make reasonable internal copies or modifications necessary to operate the system within that business.

6.2 OBMs, Consultants, and Service Providers

An operations manager, OBM, consultant, contractor, agency, or other service provider may assist a client in installing or using AOS.

However, each separate client business must have its own AOS license.

An AOS purchase may not be used to install or operate AOS for multiple unrelated businesses.

6.3 Prohibited Uses

Without our prior written permission, you may not:

  • resell AOS;

  • sublicense AOS;

  • distribute AOS to another business;

  • share AOS with another business;

  • use one purchase to install AOS for multiple businesses;

  • provide copies of AOS templates or materials to another business for its own use;

  • publish AOS materials online;

  • sell access to AOS;

  • create a competing product substantially based on AOS; or

  • represent AOS or the underlying AbsoluteOps intellectual property as your own.

6.4 Customization

You are encouraged to customize AOS for the specific needs of the business licensed to use it.

Your modifications and business-specific information remain yours, subject to our ownership of the underlying AOS intellectual property.

Customization does not transfer ownership of AOS, the Absolute8™, or our underlying frameworks, methodologies, templates, systems, or intellectual property.

7. AOS Refunds

Because AOS is a digital product that provides immediate access to downloadable and/or duplicable materials, AOS purchases are generally final and non-refundable once access has been provided.

This includes circumstances where you:

  • change your mind;

  • decide AOS is not suitable for your business;

  • do not use the system;

  • do not complete installation;

  • do not implement the system;

  • do not use the included resources; or

  • do not achieve the results you expected.

We do not offer a general 30-day satisfaction guarantee or implementation-based refund.

7.1 Duplicate Purchases

If you accidentally purchase AOS more than once using the same email address within a 24-hour period, we will honor a refund of the duplicate purchase, provided the duplicate purchase is reasonably identifiable as an accidental duplicate.

7.2 Defective or Incorrect Delivery

If the digital product delivered to you is materially defective, materially incomplete compared with the product purchased, or the wrong product was delivered, contact us at hello@absoluteops.co.

We may, at our discretion and where appropriate, provide corrected access, replacement materials, or a refund.

7.3 Legal Rights

Nothing in this section limits any cancellation, refund, chargeback, or other rights that cannot lawfully be excluded or waived under applicable law.

Where applicable law gives you a right to cancel a transaction or receive a refund, that right will apply notwithstanding our general refund policy.

8. Founding Cohorts and Other Programs

AbsoluteOps may offer cohorts, guided implementation programs, workshops, intensives, or similar programs.

The exact inclusions, duration, schedule, price, access, and requirements will be described at the time of enrollment.

8.1 Founding Cohort

The Founding Cohort is a separate and more comprehensive offering than a standard AOS purchase.

It may include:

  • AOS;

  • guided implementation;

  • group support;

  • community access;

  • individual sessions;

  • ClickUp training;

  • educational sessions;

  • additional templates and resources;

  • feedback and product-development participation; and

  • other materials or support described at enrollment.

The Founding Cohort is intended to provide a more intimate implementation experience and allow AbsoluteOps to gather feedback from participating businesses to improve and validate the AOS system across different types of online businesses.

8.2 Cohort Duration and Community

The cohort itself is a one-time purchase and is not automatically recurring.

Participants will receive access to the cohort community during the cohort period.

Following completion of the cohort, AbsoluteOps may maintain temporary community access while developing or transitioning participants to a separate paid community.

If AbsoluteOps launches a paid community, cohort participants may be offered the opportunity to join that community under its then-current terms and pricing.

Participants who do not join the paid community may have their temporary cohort community access discontinued following the cohort.

Nothing in this section guarantees lifetime community access.

8.3 Cohort Refunds

Unless a different refund policy is expressly stated at checkout, cohort purchases are generally non-refundable once access to the cohort materials, community, or program has been provided.

Any legally required cancellation or refund rights remain unaffected.

9. Membership

AbsoluteOps may offer recurring memberships, communities, education, operational mentorship, Q&A, training, or related services.

If you enroll in a membership, the applicable checkout page will state the current membership price, billing frequency, and other material terms.

9.1 Recurring Billing

Unless otherwise stated at checkout, membership fees are recurring and will continue until cancelled in accordance with the applicable membership terms.

By enrolling in a recurring membership, you authorize the applicable third-party payment processor to charge your selected payment method according to the billing terms presented at checkout.

Recurring charges, billing frequency, cancellation procedures, and material membership terms will be disclosed before enrollment.

9.2 Cancellation

You may cancel your membership using the cancellation method provided for the applicable membership.

Cancellation will stop future recurring charges in accordance with the applicable cancellation terms.

Cancellation does not automatically create a refund of amounts already charged unless required by law or expressly stated in the applicable offer.

9.3 Failed Payments

If a membership payment fails, we may notify you and provide up to seven (7) days to update your payment method and bring the account current.

If payment has not been successfully restored within that period, we may suspend or terminate your membership and community access.

Any amounts already due remain payable.

9.4 Membership Changes

We may modify membership content, schedules, community structure, instructors, platforms, features, or other aspects of the membership from time to time.

We may change membership pricing for future billing periods with appropriate notice where required by law.

10. Professional Services

AbsoluteOps may separately offer:

  • implementation;

  • consulting;

  • advisory services;

  • operational strategy;

  • training;

  • business infrastructure services;

  • AOS implementation;

  • system design;

  • ClickUp setup or configuration; and

  • other professional services related to AOS and business infrastructure.

These services are separate from the standard AOS purchase.

10.1 Separate Agreement

Professional services may be governed by a separate written agreement, statement of work, proposal, order form, or service agreement.

Where a separate agreement applies, that agreement will establish the specific scope, deliverables, fees, timelines, responsibilities, access requirements, and other engagement-specific terms.

These Terms apply unless the separate agreement expressly states otherwise.

10.2 ClickUp and System Access

When implementation services require AbsoluteOps to access your ClickUp workspace or other business systems, you authorize such access only for the purposes and duration agreed upon in the applicable service agreement.

AbsoluteOps will use reasonable measures to limit access to what is reasonably necessary to perform the agreed services.

You remain responsible for maintaining ownership and control of your business accounts and systems.

You are responsible for providing accurate information and appropriate permissions and for maintaining backups and administrative control of your systems.

10.3 Client Cooperation

Professional services may depend on your timely provision of:

  • information;

  • access;

  • approvals;

  • decisions;

  • feedback;

  • files;

  • credentials or permissions where necessary; and

  • other cooperation reasonably required to perform the services.

Delays caused by your failure to provide necessary cooperation may affect timelines and deliverables.

10.4 No Employment or Personnel Authority

Unless expressly agreed otherwise in writing, AbsoluteOps does not become your employer, co-employer, employee, or legal representative by providing professional services.

You remain responsible for your employees, contractors, compensation, classification, employment decisions, and compliance with applicable employment laws.

11. Fees and Payment

Prices for AOS, cohorts, memberships, and other offerings are the prices displayed at the applicable checkout, order form, or agreement at the time of purchase or enrollment.

Prices may be displayed in Canadian dollars, U.S. dollars, or another currency clearly identified at checkout.

Unless otherwise stated:

  • AOS is purchased as a one-time payment;

  • cohorts are purchased as a one-time payment;

  • memberships may involve recurring payments; and

  • professional services are priced according to the applicable agreement or proposal.

Applicable taxes may be added where required by law.

11.1 Payment Processing

Payments may be processed through third-party payment processors.

Your payment information may be collected and processed by the applicable payment processor according to its own terms and privacy practices.

AbsoluteOps does not control third-party payment processors and is not responsible for their systems, security, availability, or policies.

11.2 Failed or Reversed Payments

If a payment is declined, reversed, charged back, or otherwise not successfully completed, we may suspend access to the applicable product or service until the account is brought current.

This does not limit any other rights or remedies available to us.

11.3 Payment Disputes

If you believe a charge was made in error, contact us promptly at hello@absoluteops.co so that we have an opportunity to investigate and resolve the issue.
